Man Sang Int’l issues 2026 AGM notice; seeks 20% share-issue mandate, 10% buyback limit and director re-elections

Man Sang International Ltd (Man Sang Int’l) has convened its 2026 Annual General Meeting for 11 September 2026 at 4:30 p.m. on the 7th floor of Wheelock House, Central, Hong Kong, according to a notice released via the Hong Kong Stock Exchange.

Ordinary business: • Shareholders will vote on the adoption of the audited consolidated financial statements and the directors’ and independent auditor’s reports for the year ended 31 March 2026. • Three directors—Ms Cong Wenlin, Mr Wong Kwan Kit and Mr Hu Yiming—are standing for re-election. The board also seeks authority to determine directors’ remuneration. • The meeting will consider the re-appointment of the incumbent independent auditor and grant the board authority to fix its remuneration.

Special business: • General mandate to issue shares: The board requests approval to allot and issue new shares—plus any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. The mandate includes authority to grant options or other convertible securities and remains valid until the next AGM or its earlier revocation. • Share repurchase mandate: A separate resolution authorises the company to repurchase up to 10% of its issued share capital (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the same mandate period. • Extension of issue mandate: Conditional on the above two mandates passing, the share-issue limit may be increased by the number of shares actually repurchased, effectively permitting a further issuance of up to 10% of outstanding shares.

Key administrative details: • Shareholders registered by 4:30 p.m. on 4 September 2026 are entitled to attend and vote. All resolutions will be decided by poll. • Proxy forms must be lodged with Tricor Investor Services at least 48 hours before the meeting. • Contingency arrangements for severe weather are in place; any postponement will be announced on the HKEX website.

Board composition as of the notice date comprises two executive directors—Ms Cong Wenlin and Mr Hu Yiming—and three independent non-executive directors—Ms Pau Yee Ling, Mr Wong Kwan Kit and Ms Zhou Hong.
