Shanghai Iluvatar CoreX Semiconductor Co., Ltd. has distributed the proxy form and agenda for its annual general meeting (AGM), to be held at 4:00 p.m. on 29 June 2026 in Minhang District, Shanghai.

Key ordinary resolutions: • Review of the Board of Directors’ 2025 work report. • Re-appointment of Ernst & Young as external auditor for 2026, with authority delegated to the Board to determine remuneration. • Consideration of the 2025 profit-distribution plan. • Appointment of Mr. Ding Junbo as a non-executive director.

Key special resolutions: • Grant of a general mandate allowing the Board to issue additional shares and to sell or transfer treasury shares. • Grant of a general mandate authorising the Board to repurchase H shares. • Adoption of a new H-Share Award Scheme, including approval of (i) the overall Scheme Mandate Limit, (ii) a Service Provider Sub-limit and (iii) related authorisations for the Board or its delegates to administer the scheme.

Logistics and voting: • Shareholders of record may appoint one or more proxies to attend and vote; failing specific instructions, the meeting chair will act as proxy. • The completed proxy form must reach Computershare Hong Kong Investor Services by 4:00 p.m. on 28 June 2026 (Hong Kong time). • Each fully paid share carries one vote; seniority rules apply for joint holders.

The resolutions aim to position Iluvatar CoreX for flexible capital-market activities and to align long-term incentives through the proposed share award scheme while formalising routine annual matters of governance and oversight.
