Shenzhen Woer Heat-Shrinkable Material Co., Ltd. published the Rules of Procedures of the Strategy and Investment Decision Committee of the Board of Directors in February 2026. The document sets out guidelines to enhance the company’s sustainable development and strategic planning capabilities under the framework of the Company Law of the People’s Republic of China and the articles of association.

The newly outlined committee comprises three directors, including at least one independent director. The chairman of the board serves as the convener responsible for convening and presiding over meetings. If a member ceases to hold a directorship, membership on the committee is automatically disqualified; in such situations, new members must be appointed promptly.

The document clarifies the committee’s responsibilities, including research and recommendations on long-term strategic plans, major investment and financing proposals, and significant operational decisions that require board approval. The committee can monitor and examine the implementation of these matters and is authorized to propose convening a board meeting when urgent topics require timely review.

The meeting section focuses on procedure and voting. Meetings can be convened on-site, by video, or other communication channels, with each member having one vote. Written minutes are required to ensure decisions are accurately recorded and maintained for at least ten years. Provisions on reporting outcomes to the board, refining proposals, and managing any identified violations of resolutions are also outlined.

According to the announcement, these Rules of Procedures become effective once the company’s H shares are filed with the China Securities Regulatory Commission and listed for trading on The Stock Exchange of Hong Kong Limited.
