Lenovo Plans New Convertible Bond Issue, Concurrent Repurchase of 2029 Notes and On-Market Share Buy-Back

Lenovo Group Limited announced three capital-management initiatives on 17 June 2026:

1. Proposed new convertible bonds • The company intends to issue an unspecified amount of new convertible bonds to institutional investors, with exact size, pricing and other terms to be set via book-building. • Any shares issued upon conversion will fall under Lenovo’s existing Share Issuance Mandate and will be listed on the Hong Kong Stock Exchange; the bonds themselves are to be listed on the Vienna MTF. • Distribution will occur solely outside the United States under Regulation S; no placement to connected persons is expected.

2. Concurrent repurchase of outstanding 2.50% 2029 convertible bonds • Lenovo seeks to buy back part or all of the US$675.00 million 2.50% convertible bonds due 2029, originally issued on 26 August 2022. • Proceeds from the new bond offering will finance the repurchase. • J.P. Morgan Securities (Asia Pacific) Limited and The Hongkong and Shanghai Banking Corporation Limited have been appointed dealer managers under an agreement dated 17 June 2026 to collect indications of interest from bondholders.

3. Planned on-market share buy-back • To maintain a dilution-neutral position for existing shareholders following the new bond issue and note repurchase, Lenovo intends to conduct on-market share buy-backs, subject to not triggering a mandatory general offer under the Hong Kong Takeovers Code. • The board will seek renewed general buy-back mandates at forthcoming annual general meetings to facilitate purchases ahead of the new bonds’ maturity.

The proposed bond issue and concurrent repurchase remain subject to market conditions, investor demand and definitive documentation. Lenovo cautions investors that these transactions may or may not proceed.
