Beijing Zhongke WengeAI Science and Technology Co., Ltd. (WENGE AI) has signed a partnership agreement to establish Shaoxing Keqiao Guoke Qizhi Venture Investment Fund Partnership (Limited Partnership) with total committed capital of RMB300.00 million.
Key transaction terms • Capital structure: WENGE AI will contribute RMB177.00 million (59.0%) as a Limited Partner; Keqiao Jinkai will contribute RMB120.00 million (40.0%); General Partner Guoke Xizi will invest RMB3.00 million (1.0%). • Payment schedule: Each partner will fund its commitment in two equal tranches. WENGE AI will use internal cash resources. • Fund mandate: Direct equity investment—supplemented by SPVs or convertible debt—into upstream and downstream players in WENGE AI’s decision-intelligence ecosystem, including enterprise data infrastructure, industry models, AI agents, AI safety, AI4Science and industrial decision-making systems. • Tenor: 10-year fund life; five-year investment period followed by an exit period, with up to two one-year extensions restricted to the exit phase. • Governance: A five-member Investment Committee—three appointed by Guoke Xizi and two by WENGE AI—requires four affirmative votes on all matters. Annual partners’ meetings mandate unanimous resolutions. • Fees: 2% per annum on paid-in capital during the investment period; 1.5% on unrealised investments during the exit period; no fees during extensions. • Distributions: Return of LP capital, GP capital, and 6% annualised hurdle for LPs then GP, followed by an 80%/20% split of residual proceeds to LPs/GP.
Strategic rationale Management views the commitment as an industrial-synergy initiative aligned with WENGE AI’s core decision-intelligence business rather than a shift toward financial investment. Exposure to high-quality AI-chain enterprises is expected to complement product development and create potential long-term returns while preserving the company’s existing cash resources and R&D plans.
Regulatory classification WENGE AI’s RMB177.00 million commitment triggers a highest applicable percentage ratio above 5% but below 25%; the formation of the fund is therefore classified as a discloseable transaction under Chapter 14 of the Hong Kong Listing Rules, requiring announcement but not shareholder approval.
The fund will not be consolidated as a subsidiary in WENGE AI’s financial statements.
