CM Energy Tech Proposes Shift to BDO as Auditor; AGM Deferred to 29 June 2026

CM Energy Tech Co., Ltd. announced plans to replace its incumbent auditor, SHINEWING (HK) CPA Limited, with BDO Limited, contingent on shareholder approval at the rescheduled annual general meeting (AGM) on 29 June 2026.

SHINEWING will retire at the conclusion of the forthcoming AGM and has confirmed that no matters need to be brought to shareholders’ attention. The firm has not begun audit work for the financial year ending 31 December 2026, and management expects the transition will not affect the year-end audit.

The Audit Committee recommended BDO after evaluating its audit plan, industry experience, independence, and resource capacity. Alignment with controlling shareholder China Merchants Shipbuilding Industry Group—whose Shenzhen branch is already audited by BDO—was cited as a key efficiency driver. The estimated audit fee for FY 2026 is approximately RMB1.80 million.

To give shareholders additional time to review the proposed auditor change, the AGM has been postponed from 28 May 2026 to 29 June 2026; the venue remains 5th Floor, China Merchants Development Center, Shenzhen. Consequently, the register of members will now be closed from 24 June 2026 to 29 June 2026, with transfers accepted until 4:30 p.m. on 23 June 2026.
