CHINA RE Shareholders Back Lyu Zhi’s Board Entry with 99.85% Approval at 2026 First EGM

China Reinsurance (Group) Corporation (CHINA RE) reported decisive shareholder support at its First Extraordinary General Meeting of 2026 held on 26 March 2026 in Beijing.

• Voting results: 99.85% of votes cast—equal to 37.18 billion shares—favoured the election of Mr. Lyu Zhi as a non-executive director for the fifth board session. Votes against and abstentions accounted for 0.13% (0.05 billion shares) and 0.02% (0.01 billion shares) respectively.

• Participation: Shareholders and proxies representing 37.24 billion shares were present, reflecting an 87.65% turnout of the company’s total 42.48 billion issued shares. The company held no treasury or repurchased shares. All eight existing directors attended the meeting in person.

• Regulatory details: Mr. Lyu Zhi’s term will begin upon approval of his director qualification by the National Financial Regulatory Administration and will run to the end of the current board’s fifth session, with eligibility for re-election thereafter.

• Compliance: No shareholders faced voting restrictions or were required to abstain under Hong Kong Listing Rules. Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll.

The meeting complied with PRC laws, the Hong Kong Listing Rules and the company’s Articles of Association, confirming Mr. Lyu Zhi’s appointment to CHINA RE’s board.
