Keymed Biosciences Inc. reported that every agenda item at its 26 June 2026 Annual General Meeting (AGM) in Chengdu was passed by wide margins, underscoring broad shareholder backing for the company’s strategic and governance roadmap.
The audited consolidated financial statements for the year ended 31 December 2025, together with directors’ and auditor’s reports, received 99.9983% of votes cast in favour (119.80 million shares), with only 0.0017% against.
Board composition changes were also ratified: • Executive Director Dr. Changyu Wang was re-elected with 89.84% support (107.63 million votes). • Executive Director Dr. Gang Xu secured 99.52% approval (119.22 million votes). • Non-executive Director Mr. Qi Chen was re-elected with 97.33% support (116.60 million votes). Shareholders further authorised the Board to determine directors’ remuneration, passing the motion with 99.91% support.
Auditor continuity was confirmed as Ernst & Young were re-appointed with 99.97% of votes in favour (119.76 million shares), ensuring ongoing consistency in the company’s financial oversight.
Capital management mandates also received strong endorsement: • A general mandate to issue up to 20% of existing share capital was approved by 88.95% of votes (104.78 million shares). • Authority to repurchase up to 10% of issued shares obtained near-unanimous backing at 99.9983% (117.80 million shares). • The extension of the issuance mandate by the amount of repurchased shares passed with 91.06% approval (107.26 million votes).
Voting rights attached to all 298.74 million issued shares were fully eligible; there were no abstentions, imposed voting restrictions, or stated intentions to oppose any resolution. Computershare Hong Kong Investor Services acted as scrutineer, and key executives—including Chairman Dr. Bo Chen—attended either in person or via electronic means.
