Anchorstone Holdings Limited unveiled a non-underwritten rights issue that offers shareholders four rights shares for every existing share held on the record date of 20 April 2026. Up to 1,158.22 million new shares could be issued at HK$0.105 each, representing potential gross proceeds of approximately HK$121.60 million.

The subscription price is set at a 30.00 % discount to the HK$0.150 closing price on the last trading day (14 January 2026) and a 7.89 % discount to the theoretical ex-rights price of HK$0.114. Post-issue, Anchorstone’s issued share capital could expand from 289.56 million to 1,447.78 million shares.

Controlling shareholder and Chairman Mr. Lui Yue Yun Gary (47.62 % stake) has irrevocably undertaken to subscribe for up to 551.54 million rights shares. The HK$57.90 million subscription cost will be settled by offsetting an equivalent amount of shareholder loans previously advanced to the Group, which bear 5 % annual interest.

Assuming full take-up, net cash proceeds after expenses and the set-off arrangement are estimated at HK$62.60 million. The Company plans to deploy about HK$41.80 million to repay overdue bank borrowings, HK$20.30 million to settle outstanding trade and other payables, and the remaining HK$0.50 million for general working capital.

Key dates include trading in nil-paid rights from 23 to 30 April 2026 and the latest time for acceptance and payment at 4:00 p.m. on 6 May 2026. Results of the rights issue will be announced on 2 June 2026, with fully-paid rights shares expected to commence trading on 4 June 2026.

If the rights issue is undersubscribed, unaccepted entitlements will be placed on a best-efforts basis, and any premium above the subscription price will be distributed among shareholders who did not take up their rights. Any remaining shares not placed will be cancelled, reducing the final issuance size accordingly.
