SEC Set to Introduce Reg Crypto Framework for Digital Asset Compliance

The U.S. Securities and Exchange Commission is scheduled to convene a meeting this Friday to formally propose a rule known as "Reg Crypto," designed to create a structured pathway for the lawful issuance of digital assets. This marks the first time the regulator has initiated a formal rulemaking process specifically for crypto assets.

SEC Chair Paul Atkins has long identified this rulemaking as a key pillar of his crypto regulatory agenda. The agency issued a notice on Monday evening announcing the Friday meeting, during which a three-member commission will open the SEC's proposal for public comment. The rule is expected to offer crypto enterprises a funding route that does not trigger SEC registration requirements, while also providing a regulatory exit for firms that are no longer actively managing a project.

The push for the Reg Crypto rule comes just after the U.S. Senate failed to advance a critical vote on the "Digital Asset Market Clarity Act" last week, a bill intended to establish a legal foundation for U.S. crypto market regulation. TD Cowen analyst Jaret Seiberg noted that with the Senate unable to progress the Clarity Act before its August recess, the SEC will launch multiple rulemaking initiatives to deliver regulatory certainty for crypto assets.

Previously, the SEC has issued a series of crypto policy statements to clarify its stance on digital assets, but such personnel-level statements lack long-term durability. In contrast, formal rulemaking will be far more difficult to reverse in the future. The Reg Crypto rule is expected to undergo a months-long drafting and finalization process, with the current phase including a typical comment period of two to three months, likely followed by extended revisions.

Reg Crypto will run parallel to other significant actions the SEC has taken to foster the U.S. crypto industry. The agency has already reached a joint position with the Commodity Futures Trading Commission on a digital asset "taxonomy" to define the characteristics of various crypto assets and determine regulatory jurisdiction. Additionally, the SEC continues to advance its tokenized securities plan, which Atkins has repeatedly highlighted as a major component of the agency's crypto regulatory efforts.

Atkins has frequently emphasized the importance of congressional legislation to set guardrails for the crypto market. However, lawmakers have failed to make headway on advancing the bill, leaving only a narrow window for progress next month.
