NUMANS (02530) announced that the company and Caitong International Financing Limited (Caitong) have mutually agreed to terminate the compliance advisor agreement signed on January 13, 2024. The termination will take effect from March 9, 2026, due to disagreements over the fee adjustment for services provided by Caitong. The Board of Directors further announced that, in accordance with Listing Rule 3A.27, Chuang Sheng Financing Limited (Chuang Sheng Financing) has been appointed as the company's new compliance advisor, effective from March 10, 2026. The appointment will continue until the earlier of: (i) the date the company complies with Listing Rule 13.46 regarding the financial results for its first full financial year commencing after its listing date (i.e., the financial year ending December 31, 2026), as stipulated under Listing Rule 3A.19; or (ii) the date the compliance advisor agreement between the company and Chuang Sheng Financing is terminated according to its terms.
