Xinhua News Media Holdings Limited (XH NEWS MEDIA) has called an extraordinary general meeting (EGM) for 22 June 2026 to seek shareholder approval for a 40-for-1 share consolidation and a simultaneous change in board lot size from 1,000 existing shares to 2,000 consolidated shares.
If approved, every 40 ordinary shares of HK$0.01 each will be consolidated into one share of HK$0.40. The effective date is scheduled for 24 June 2026, subject to the Stock Exchange granting listing approval and other statutory conditions.
Key capital effects • Authorised share capital will remain HK$40.00 million but will be re-denominated from 4,000,000,000 shares at HK$0.01 to 100,000,000 shares at HK$0.40. • Issued share capital will contract from 1,931,069,796 shares to 48,276,744 consolidated shares, assuming no further issuance before the effective date.
Trading arrangements • Dealing in consolidated shares starts at 9:00 a.m. on 24 June 2026. • Parallel trading and odd-lot matching services will run from 9 July 2026 to 29 July 2026. • Free exchange of old (blue) share certificates for new (grey) certificates is available until 31 July 2026; thereafter a handling fee of HK$2.50 per certificate applies.
Board lot rationale Based on the latest closing price of HK$0.033 per existing share, the current board lot value is HK$33. Post-consolidation and board lot change, the theoretical board lot value will rise to HK$2,640, exceeding the HK$2,000 threshold set out in the Hong Kong Exchange’s trading guide and reducing relative transaction costs.
Fractional shares and odd lots Fractional entitlements will be aggregated and sold for the company’s benefit. China Sky Securities Limited will act as an agent to facilitate odd-lot matching during the three-week parallel-trading window.
Adjustments to share options As of the latest practicable date, 56,836,000 options are outstanding. Exercise prices and quantities will be adjusted on a 40-for-1 basis, reducing the outstanding options to 1,420,900 consolidated shares, subject to certification by an independent adviser.
The board stated it currently has no other planned corporate actions that would negate the consolidation’s purpose but may consider fundraising if suitable opportunities arise.
Shareholders of record on 22 June 2026 are entitled to vote at the EGM; the share register closes from 15 June to 22 June 2026. The resolution will be decided by poll.
