Zall Smart Commerce Group Ltd. (Stock Code: 2098) reported that on 17 October 2025, Shenzhen Sinoagri E-commerce Co., Ltd. (Sinoagri), an indirect non-wholly owned subsidiary, entered into a Maximum Guarantee Agreement with Industrial and Commercial Bank of China Limited, Wuchang branch in Wuhan (ICBC Wuchang).

Under the agreement, Sinoagri will provide a guarantee of up to RMB147.0 million to cover the repayment obligations of Hubei Agricultural Digital Trade Co., Ltd. (Hubei Digital Trade), a 49% owned associate of Sinoagri. The guarantee applies to outstanding principal, accrued interest, liquidated damages, and other related costs arising from the financing arrangements between Hubei Digital Trade and ICBC Wuchang during the period from 28 September 2025 to 28 September 2028.

According to the information provided, Hubei Digital Trade intends to use the loan and related financing for general working capital and to support business expansion, primarily focusing on upgrading its B2B digital trade platform and strengthening its operations in the agricultural products industry chain. Hubei Digital Trade is jointly owned by Sinoagri and Hubei Provincial Cereals Oils and Foodstuffs Import and Export Group Co., Ltd.

The transaction is regarded as a discloseable transaction under Chapter 14 of the Listing Rules. It requires an announcement and notification to the Hong Kong Stock Exchange, as the highest applicable percentage ratio is more than 5% but less than 25%. Sinoagri expects the arrangement to reinforce synergies with Hubei Digital Trade and further extend its capabilities in the agricultural digital trade market.
