MEMESTRATEGY (02440) announced that on September 1, 2025, the board of directors has resolved to terminate the share option scheme with immediate effect. On September 1, 2025, the board of directors has also resolved to terminate the share award scheme with immediate effect.

Due to the proposed adoption of the 2025 Restricted Share Unit Plan, and to provide clearer definition and better management of employee incentive schemes following the change in the company's controlling shareholder, corporate renaming, and strategic expansion into new business areas of Web3 and artificial intelligence, the board has resolved on the date of this announcement to immediately terminate both the share option scheme and the share award scheme.

The board has resolved to propose the adoption of the 2025 Restricted Share Unit Plan, which, if adopted, will constitute a share scheme funded by the issue of new shares under Chapter 17 of the Listing Rules. Therefore, pursuant to Rule 17.02(1)(a) of the Listing Rules, the adoption of the 2025 Restricted Share Unit Plan is subject to approval by shareholders at a general meeting, among other requirements.
