KWG Group Holdings announced that all ordinary resolutions tabled at its Annual General Meeting (AGM) on 3 June 2026 were approved by wide margins after a poll vote.
The company’s audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports, were adopted with 2.00 billion votes in favour, representing 99.93% of the total cast.
Board Composition • Executive director Mr. Kong Jiannan was re-elected with 1.99 billion votes (99.25%). • Independent non-executive directors Mr. Tam Chun Fai and Ms. Wong Man Ming, Melinda secured 99.25% and 100% support, respectively. • Shareholders also granted the board authority to fix directors’ remuneration with unanimous approval.
Auditor Reappointment Prism Hong Kong Limited was re-appointed as independent auditor, receiving 1.99 billion votes in favour (99.25%). The board is authorised to determine its remuneration.
Capital Management Mandates Shareholders renewed key mandates that enhance the board’s financial flexibility: 1. A general mandate to issue new shares and/or resell treasury shares passed with 99.25% support. 2. A separate mandate to buy back shares achieved 100% approval. 3. An extension mandate allowing the number of shares bought back to be added to the issuance limit also received 99.25% support.
Voting Details • Total shares entitled to vote: 3.42 billion. • No shareholder was required to abstain, and no votes were cast against any resolution in advance. • Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll.
