Engro Corporation Limited announced that all eight resolutions tabled at its Annual General Meeting on Apr, 28 2026 were passed by poll, with support levels of at least 99.99 per cent for each motion.
The meeting approved the Directors’ Statement and audited financial statements for the year ended Dec, 31 2025, and authorised a first and final tax-exempt dividend of 3.0 cents per ordinary share together with a special tax-exempt dividend of 1.0 cent per ordinary share. Both dividends will be paid on May, 29 2026.
Shareholders re-elected Mr Tan Soo Nan and Ms Ng Won Lein to the board, re-appointed KPMG LLP as external auditors, and endorsed directors’ fees of 0.27 million Singapore dollars for FY2025.
The meeting also renewed the share issue mandate—capped at 50 per cent of issued share capital, with a 20 per cent sub-limit for non-pro-rata issuances—and refreshed the 10 per cent share purchase mandate.
All resolutions were conducted by electronic poll; Boardroom Corporate & Advisory Services acted as polling agent and Complete Corporate Services served as scrutineer.
