A-Living Smart City Services Clears All AGM Resolutions, Declares RMB0.06 Final Dividend and Abolishes Supervisory Committee

A-Living Smart City Services Co., Ltd. reported that every proposal tabled at its 2025 Annual General Meeting (AGM) on 28 May 2026 was approved by poll, paving the way for a RMB0.06 per share final dividend, refreshed capital mandates and significant governance changes.

Dividend Distribution • Shareholders endorsed a cash dividend of RMB0.06 per share (before tax) for FY 2025. • Based on 1.42 billion issued H shares minus 1.46 million treasury shares, the payout will total roughly RMB85.11 million (about HK$97.70 million) before tax. • Record date: 11 June 2026; book closure: 8–11 June 2026; payment date: on or about 10 July 2026. • H-share investors will receive HK$0.06880 per share, determined at RMB1.00 = HK$1.14668. Treasury shares are not entitled to the dividend.

Board and Auditor Resolutions • FY 2025 board report, supervisory report, audited statements, annual report and the FY 2026 budget each secured at least 99.96% of votes in favour. • All directors standing for re-election were returned, including executive directors Wang Haiyang, Li Dalong and Chen Siyang, and independent non-executive directors Wang Gonghu, Weng Guoqiang and Li Jiahe. • Grant Thornton Hong Kong Limited was re-appointed as auditor until the next AGM with 99.998% support. • The board and supervisory committee were authorised to set remuneration for directors and supervisors respectively.

Capital Management Mandates • Shareholders granted a new mandate allowing the board to issue or transfer up to 20% of issued H shares (excluding treasury shares) and to repurchase up to 10%, with 96.73% and 100.00% approval rates, respectively.

Governance Restructuring • Amendments to the Articles of Association were approved, resulting in the formal abolition of the Supervisory Committee. Its statutory functions are now assumed by the board’s audit committee. • Zhao Yu, already an executive director, was elected employee-representative director for the fourth board session, serving a three-year term from 21 July 2026. • Chan Cheuk Hung stepped down as Hong Kong process agent; Fu Mei Yan has been appointed to the role, effective 28 May 2026.

Voting Details • Total shares entitled to vote: 1.42 billion H shares, excluding 1.46 million treasury shares. • The lowest support level among all resolutions was 92.94% (re-election of independent director Wang Gonghu); all other items exceeded 96% approval, underscoring broad shareholder backing.
