According to an announcement released by JX Energy Ltd. (Stock Code: 3395), the current Chief Financial Officer (CFO) and joint company secretary, Ms. Tara Suzanne Leray, will resign from her positions on October 31, 2025, to pursue other business opportunities. Concurrently, the other joint company secretary, Ms. Chau Hing Ling from Vistra Corporate Services (HK) Limited, will also step down from her role as joint company secretary and as an authorized representative of JX Energy Ltd. Ms. Leray and Ms. Chau have confirmed there is no disagreement with the board, and the board expressed gratitude for their contributions.

Following these departures, the announcement states that Ms. Jun Xiang will assume the role of CFO and joint company secretary from October 31, 2025. Ms. Xiang, aged 44, brings over 11 years of oil and gas industry experience, having previously served as chief financial officer of a Calgary-based oil and gas engineering and services company. She also held financial management roles at Huadian Natural Gas Canada Limited and worked at major accounting firms. Ms. Xiang is a non-practicing member of the Chinese Institute of Certified Public Accountants and has been a member of the Chartered Professional Accountants of British Columbia since May 2019.

In addition, Ms. Suen Pui Chun Hannah of Vistra will become the joint company secretary and authorized representative, effective October 31, 2025. Ms. Suen holds extensive experience in providing company secretarial services to listed and private companies. Given that Ms. Xiang does not fully meet the acceptable qualification requirements under the Listing Rules, the announcement notes that a waiver from strict compliance has been granted, allowing Ms. Xiang to be assisted by Ms. Suen for three years.

The board also announced a change in the chief executive officer (CEO) position. On October 24, 2025, the interim CEO, Mr. Yongtan Liu, resigned from that role to focus on his responsibilities as chairman of the board. With effect from October 31, 2025, Mr. Liu will be succeeded by Mr. Binyou Dai, an executive director of JX Energy Ltd. and its chief operating officer. Mr. Dai, aged 56, has over three decades of expertise in natural gas and oil engineering, project management, and facilities development. He joined JX Energy Ltd. in 2009 and previously worked for Wood Group Mustang and China National Petroleum Corporation.

The announcement confirms there are no matters requiring further attention from shareholders or the Stock Exchange arising from these transitions. JX Energy Ltd. has extended congratulations to Mr. Dai on his new appointment and expressed appreciation to Mr. Liu, Ms. Leray, and Ms. Chau for their past service.
