Xiamen Yan Palace Bird’s Nest Industry Co., Ltd. (Stock Code: 1497) announced proposed revisions to its Articles of Association, Rules of Procedure for General Meetings, Board Meetings, and Board of Supervisors. According to the announcement, these revisions address the repeal of relevant mandatory provisions on March 31, 2023, the revised Company Law of the People’s Republic of China (effective July 1, 2024), and new regulatory guidelines issued by the China Securities Regulatory Commission on March 28, 2025. The Hong Kong listing rules’ expansion of the paperless listing regime also guided the proposed amendments.

The proposed changes are subject to approval at an upcoming extraordinary general meeting. A circular detailing the amendments and the meeting arrangements is scheduled to be dispatched to shareholders on December 4, 2025. The company’s board noted that these measures aim to align its governance framework with the latest legal and regulatory requirements.
