Luxshare ICT Sees Minor 141-Share Issuance via Bond Conversion, Confirms 4.99% Public Float for July 2026

Authorised and Issued Share Capital • Ordinary A shares authorised rose by 141 units to 7.32 billion; H-share authorisation remained unchanged at 383.47 million. • Total authorised capital closed the month at 7.70 billion shares.

• Issued A shares (excluding treasury) increased by just 141 to 7.30 billion, driven solely by bond conversion. Treasury A shares stayed at 17.67 million, keeping total issued A shares at 7.32 billion. • Issued H shares were unchanged at 383.47 million, with no treasury position.

Convertible Bond Activity • 8,000 units of the onshore convertible bonds (face value RMB 100 each) were converted, adding 141 new A shares. • Outstanding principal after conversion: RMB 2.98 billion, representing a remaining conversion capacity of 53.62 million A shares at the preset price of RMB 55.67 per share.

Equity Incentive Plans • Outstanding options under three schemes totalled 268.06 million units: – 2021 Plan: 12.48 million options outstanding; 0.65 million shares available for issue. – 2022 Plan: 61.75 million options outstanding; 3.06 million shares available for issue. – 2025 Plan: 193.83 million options outstanding; 12.50 million shares available for issue. • No options were exercised during the month; therefore, no funds were raised via option exercises.

Public-Float Status • H-share free float stood at 4.99% of the class’s issued shares, with a market value of HK$23.12 billion—comfortably above the HK$1 billion threshold set for PRC issuers. The company confirmed full compliance with Main Board Rule 13.32D(1).

Treasury Shares • Treasury stock remained unchanged at 17.67 million A shares; no repurchases or transfers were recorded in July.

Overall, Luxshare ICT’s July filing indicates stable capital structure dynamics, with only a fractional uptick in A-share issuance resulting from ongoing convertible-bond conversions and continued adherence to Hong Kong listing requirements.
