Marvell Sinks 13%, Lumentum Plummets 19%: Second-Largest Tech M&A Deal in History Triggers Selloff

Marvell Technology announced its acquisition of optical technology company Lumentum Holdings, a move that will rank among the largest M&A transactions in tech industry history and represents Marvell's biggest bet on repositioning itself as a core supplier of AI infrastructure.

The all-stock deal carries an enterprise value of approximately $115 billion, corresponding to an equity value of roughly $102.6 billion. Upon completion, former Marvell shareholders will own about 67% of the combined company, while Lumentum shareholders will hold approximately 33%. The two companies stated that the transaction is expected to close in the first half of 2028.

Marvell CEO Matt Murphy said on a Monday conference call: "Marvell has spent a decade building a strong position in the core technologies driving the AI industry, and this transaction marks a decisive next step in that journey."

However, the market's reaction to the deal was hardly favorable. Lumentum shares fell 19% on Monday to $684.40, while Marvell dropped 13% to $171.41.

Investor concerns center on three points: current valuation pressure on AI concept stocks, limited room for cost synergies between the two companies, and uncertainty surrounding regulatory approval.

Second-Largest Tech M&A Ever, Behind Only the SpaceX-xAI Merger

According to data compiled by Bloomberg, this acquisition ranks as the largest M&A deal of the year by equity value and is second only to the SpaceX-xAI merger in tech industry history.

The deal underscores how the AI boom continues to generate large-scale mergers and restructuring across nearly every major industry—from chips and data center operations to utilities. Lumentum's market capitalization stood at approximately $76 billion before the deal was announced, while Marvell's market value was roughly $172.2 billion.

Qatalyst Partners is serving as Marvell's lead financial advisor, with Goldman Sachs and JPMorgan also providing advisory services to Marvell; Citigroup and Evercore are acting as financial advisors to Lumentum.

Optical Interconnect Technology Becomes a Critical AI Data Center Battleground

Lumentum's core business is manufacturing lasers and other optical components used to transmit massive amounts of data at high speeds across data centers and telecommunications networks. This type of hardware serves as the underlying foundation for AI infrastructure expansion, enabling data centers to efficiently transfer information between servers, facilities, and various nodes.

Marvell had previously sourced laser technology from Lumentum and has been steadily increasing its investment in optical and photonic technology. Earlier this year, Marvell completed its acquisition of photonic chip maker Celestial AI. Integrating Lumentum will give Marvell a more complete vertical capability in the emerging technology path of "using light instead of copper wire to transmit data."

It is worth noting that Nvidia announced in March of this year that it would invest $2 billion in Lumentum, with the two parties planning to collaborate in the photonics technology field. Marvell's full acquisition means Nvidia's strategic partnership will face a new dynamic.

Marvell's AI Customer Map and Integration Logic

On the AI chip side, Marvell has partnered with Amazon's cloud computing division and Microsoft to help customize AI chips; in August of this year, the company also reached a chip agreement with Alphabet's Google to support its Tensor Processing Units (TPUs).

Acquiring Lumentum is a natural extension of Marvell's ongoing strategy—by incorporating optical transmission capabilities into its own product portfolio, Marvell can offer large cloud providers a more complete solution spanning from custom chips to data center optical interconnect.

However, analysts point out that the two companies have limited operational overlap, cost synergy benefits are not expected to be significant, and the 2028 closing timeline suggests a relatively complex regulatory approval process. Against the backdrop of overall valuation pressure on the AI sector and market skepticism about the industry's burn rate, whether Marvell can win investor approval for this blockbuster acquisition at this juncture remains a major question mark.
