Chu Kong Pipe Revises Nomination Committee Charter, Adds Gender Diversity Clause

Chu Kong Petroleum and Natural Gas Steel Pipe Holdings Limited (Chu Kong Pipe) has released a revised Terms of Reference for its Nomination Committee, effective 1 April 2026. Key amendments strengthen board oversight, gender diversity and transparency.

The updated charter stipulates:

• Membership: A minimum of three directors, with independent non-executive directors forming the majority and at least one member of a different gender.

• Leadership & Quorum: The committee chairman—either the Board chairman or an independent non-executive director—is appointed by the Board. Quorum is set at two members.

• Meeting Frequency & AGM Presence: At least one meeting per year is mandatory, and the committee chairman (or delegate) must attend the annual general meeting to report on the committee’s work.

• Expanded Duties: 1) Annual review of Board structure, size and composition. 2) Identification and recommendation of qualified director candidates and succession plans, with particular focus on the chairman and chief executive roles. 3) Ongoing assessment of independent non-executive director status. 4) Annual evaluation of the Board Diversity Policy, including measurable objectives and progress disclosure in the Corporate Governance Report. 5) Support for regular Board performance evaluations and assessment of each director’s time commitment and effectiveness.

• Reporting: Findings and recommendations must be reported to the full Board at its next meeting.

• Resources: The committee is guaranteed sufficient resources to fulfill its mandate.

The revisions align Chu Kong Pipe’s governance framework with evolving regulatory expectations and reinforce its commitment to board diversity and robust nomination processes.
