Workday Stock Surges 30% on Report of Potential Silver Lake Acquisition, Boosting Software Sector

Workday shares experienced a massive jump on Thursday following reports that private equity giant Silver Lake is in discussions to acquire the enterprise software company, lifting the entire SaaS sector and driving a broad rally in AI application software stocks.

According to sources familiar with the matter, Silver Lake has been in talks for several months regarding a potential acquisition of Workday, though there is no guarantee a deal will be finalized. The company provides human resources and other business process management software to enterprises.

As of the latest update, Workday shares were up 18%, with intraday gains reaching as high as 30%.

The news sparked a rally across the AI application software space. Both Cloudflare and MongoDB rose over 6%, while Palantir and Salesforce each gained more than 4%. Applovin and ServiceNow advanced over 3%, and the iShares Expanded Tech-Software Sector ETF climbed more than 2%.

Struggling Stock Under the Shadow of a "Software Apocalypse"

Workday had previously become a poster child for market fears that AI could disrupt the SaaS business model. Investors are widely concerned that AI-assisted programming will fuel the rise of low-cost competitors, or even allow enterprise clients to bypass software vendors and build their own solutions. Before Wednesday's close, Workday shares had fallen 18% year-to-date, making it one of the perceived victims of the so-called "software apocalypse."

Silver Lake has a long-standing interest in the software sector. In June, the firm's managing partner, Christian Lucas, noted that about 25% of Silver Lake's portfolio is allocated to software companies.

Co-Founder Returns to Lead a Counteroffensive

On the corporate governance front, Workday announced in February that co-founder Aneel Bhusri would return to the company to replace Carl Eschenbach as CEO. Bhusri co-founded Workday in 2005 and served as CEO from 2014 to 2020, and later as co-CEO until 2024. Eschenbach had served as co-CEO alongside Bhusri since late 2022.

Bhusri has taken a strong stance against AI-driven competitive pressure. Earlier this year, citing examples of AI labs using Workday software, he stated bluntly: "No amount of 'Vibe Coding' can produce a set of HR or ERP systems." This remark directly countered the core market concern that AI could replace enterprise-grade software.

Latest Quarterly Results Provide Fundamental Support

In May, Workday's most recent quarterly results helped alleviate some investor worries. The company's sales grew 13% year-over-year, beating market expectations, and it provided a higher-than-anticipated forecast for the next quarter. Bhusri stated at the time: "Our core business is strong, our AI strategy is working, and we are moving forward with the speed and focus required." Like many of its peers, Workday has also launched its own AI tools and continues to argue for the logic that it will benefit from this emerging technology.
