TransDigm Group announced today that it has reached a definitive agreement to acquire Prince & Izant, a portfolio company of Industrial Growth Partners, for approximately $1.066 billion in cash.

Prince & Izant, headquartered in Cleveland, Ohio, is a global leader in the design and manufacture of highly engineered brazing alloys and specialty metal components. Its products are widely used in aerospace and defense, aeroderivative gas turbines, transportation, and other high-end applications. The company offers nearly 10,000 active SKUs, with revenue primarily derived from specialty metal alloys including gold, silver, and platinum. It employs approximately 220 people and operates manufacturing facilities in Ohio, Illinois, Wisconsin, and New York, with projected full-year 2026 revenue of around $360 million.

TransDigm CEO Mike Lisman stated that Prince & Izant provides highly engineered, customized proprietary products that align closely with the company's acquisition criteria. He noted that the team is familiar with the applications and value of these products, and expects the acquisition to generate equity value consistent with long-term private equity-style return targets.

The transaction remains subject to regulatory approvals and customary closing conditions. Notably, just two weeks ago, TransDigm was forced to abandon its planned $960 million acquisition of rival Stellant Systems due to antitrust review concerns.
