EDIANYUN executes HK$29.47 million share buyback, reducing free-float by 1.92%

Edianyun Limited disclosed a material change in share capital following recent corporate actions on 5 June and 15 June 2026.

On 5 June 2026, 1,750 new ordinary shares were issued at HK$0.0004 each upon employee option exercises under the company’s Pre-IPO Option Plan. This issuance increased the total share count to 538.32 million but had a negligible 0.0003% impact on the number of issued shares excluding treasury stock.

The more significant event occurred on 15 June 2026, when the company repurchased 9.82 million shares on the Hong Kong Stock Exchange at HK$3.00 per share, for a total consideration of HK$29.47 million. These repurchased shares are being held as treasury stock.

Key capital metrics after the transactions: • Issued shares (excluding treasury): 500.69 million, down 1.92% from 510.51 million on 31 May 2026. • Treasury shares: 37.63 million, up from 27.81 million. • Total issued shares (including treasury): 538.32 million, virtually unchanged due to the minor option issuance.

The buyback forms part of a repurchase mandate granted on 13 June 2025 authorising the company to repurchase up to 52.37 million shares. Cumulative repurchases under this mandate now stand at 27.49 million shares, representing 5.25% of the share base at the time the mandate was approved.

Pursuant to Hong Kong listing rules, Edianyun is subject to a 30-day moratorium on new share issues or sales of treasury stock, lasting until 15 July 2026.
