Deepexi Technology to Raise HK$500.01 Million via 4.27% H-Share Placement at 3.7% Discount

Deepexi Technology Co., Ltd. (DEEPEXI TECH) has entered into a placing agreement to issue 14.29 million new H shares at HK$35.00 each, representing approximately 4.27% of its existing share capital and 4.10% post-issue. The placement will be executed on a best-efforts basis by CLSA Limited (sole overall coordinator and placing agent) alongside three other brokers, with at least six independent investors participating.

The offer price implies: • a 3.74% discount to the HK$36.36 closing price on 12 August 2026 (last trading day); • a 3.06% discount to the five-day average closing price of HK$36.10.

Gross proceeds are expected at HK$500.01 million, while net proceeds after fees and expenses are estimated at HK$487.51 million, equating to a net issue price of HK$34.13 per share.

Use of funds (targeted full deployment by 31 December 2028): • 70% for R&D and product enhancement of the enterprise AI agent platform, including upgrades to the Harness collaboration architecture, proprietary large-language models, expanded ontology datasets, and additional cloud and computing resources, as well as recruitment of specialised R&D talent. • 20% for strategic investments and acquisitions aligned with core business and technological roadmap. • 10% for working capital and general corporate purposes.

The shares will be issued under Deepexi’s existing general mandate, which still had capacity for 57.38 million shares before this placement. The company has agreed to a 90-day lock-up period on further equity issuance, excluding the current deal.

Upon completion, Deepexi’s total issued shares will rise from 334.57 million to 348.86 million, with the public float remaining above the 15% regulatory threshold. Core connected persons’ stake will decrease from 31.34% to 30.05%, while public shareholders (including the new placees) will collectively hold 69.95%.

The transaction is expected to close by 17 August 2026, subject to customary conditions, including Hong Kong Stock Exchange listing approval. Should any condition not be met or materially adverse events arise, the placing agents may terminate the agreement.

Recent capital market activity includes a HK$395.00 million H-share placing in May 2026 and a HK$657.28 million global offering at IPO in October 2025; proceeds from both remain earmarked for previously disclosed uses.
