SOFTCARE (02698) announced that the company and Soochow Securities International Financing Limited have mutually agreed to terminate the compliance advisor agreement signed on January 15, 2025, effective January 12, 2026. The termination is due to changes in key project personnel at Soochow Securities.

Given that the key project personnel previously responsible for the company's compliance work at Soochow Securities have now taken up new positions at Ping An Capital (Hong Kong) Limited, and considering the company's need for continuity and its high regard for the compliance advisor appointment, the Board further announced that, pursuant to Listing Rule 3A.27, Ping An has been appointed as the company's new compliance advisor.

The appointment of Ping An will take effect on January 12, 2026, and will continue until the date on which the company complies with the requirements of Listing Rule 13.46 for its financial results for the first full financial year commencing after the date of its initial listing (i.e., the financial year ending December 31, 2026); or the date of termination of the compliance advisor agreement with Ping An in accordance with its terms, whichever is earlier.

Ping An is a licensed corporation under the Securities and Futures Ordinance (Cap. 571) of Hong Kong law permitted to carry on Type 6 (advising on corporate finance) regulated activities.
