Bao Pharma appoints new joint company secretary and secures Listing Rules waiver

Shanghai Bao Pharmaceuticals Co., Ltd. (Bao Pharma) announced that Ms. Fong Christine Haiman will step down as joint company secretary, authorised representative and process agent with effect from 8 July 2026 due to other work arrangements. Following her resignation, Mr. Tsang Chun Ho has been appointed to all three roles on the same date, while Ms. Li Cui continues as the other joint company secretary.

Ms. Li, currently chief financial officer, board secretary and executive director, has held senior finance and governance roles since joining the company in December 2021. Mr. Tsang, a manager at Tricor Services Limited with over 12 years of company secretarial experience, is a Chartered Secretary and Chartered Governance Professional.

The Hong Kong Stock Exchange has granted Bao Pharma a waiver from strict compliance with Listing Rules 3.28 and 8.17 regarding Ms. Li’s eligibility as joint company secretary. The waiver runs from Mr. Tsang’s appointment on 8 July 2026 to 9 December 2028 and is conditional on: 1) Ms. Li being assisted by Mr. Tsang during the waiver period, and 2) automatic revocation if the company commits material breaches of the Listing Rules.

Before the waiver expires, Bao Pharma must demonstrate that Ms. Li has gained sufficient experience to fulfil the company secretary role independently. The board expressed gratitude to Ms. Fong for her contributions and welcomed Mr. Tsang to his new position.
