Hao Tian International Construction Investment Group Sells 2.95% Stake in Co-Lead Holdings for HK$43.00 Million

Hao Tian International Construction Investment Group Limited has agreed to dispose of 436 shares—representing 2.95% of Co-Lead Holdings Limited’s issued share capital—for HK$43.00 million. The transaction was executed on 8 September 2026 via a sale and purchase agreement between Hao Tian’s wholly owned subsidiary, Hao Tian Energy Holding Limited (the “Vendor”), and Co-Lead Holdings (the “Purchaser”).

The consideration will be settled in three cash instalments: HK$16.00 million within five business days of signing (by 15 September 2026), another HK$16.00 million within 20 business days (by 7 October 2026) and the remaining HK$11.00 million on or before the completion date, which is scheduled within 40 business days (no later than 5 November 2026). Failure by the Purchaser to complete the deal permits the Vendor to terminate the agreement and retain the first instalment as liquidated damages.

Pricing was set through arm’s-length negotiations, reflecting HK$98,623 per share—roughly on par with Co-Lead’s unaudited net asset value (NAV) per share of HK$98,504 as at 30 June 2026 and about 14.4% above Hao Tian’s original subscription cost of HK$86,206 per share in May 2025.

Post-transaction, Hao Tian’s equity interest in Co-Lead will fall from 3.92% to 0.97%. Based on the difference between original cost and sale price, the group expects to record a disposal gain of approximately HK$5.40 million, subject to audit. Net proceeds of around HK$43.00 million are earmarked for general working-capital purposes.

Co-Lead, an investment holding company incorporated in the British Virgin Islands, reported unaudited revenue of HK$18.26 million and net profit of HK$3.54 million for the year ended 31 December 2025, reversing a HK$92.80 million loss in 2024. Its unaudited NAV stood at HK$1.46 billion as at 30 June 2026.

The disposal qualifies as a discloseable transaction under Hong Kong Listing Rule 14.07, as the relevant percentage ratios exceed 5% but remain below 25%, triggering announcement requirements.

Trading in Hao Tian’s shares has been suspended since 2 July 2026 pending publication of its FY2025/26 annual results and will remain suspended until further notice. Investors are urged to exercise caution when dealing in the company’s securities.
