BOAN BIOTECH Sets 22 June 2026 AGM; Seeks 20% Share Issuance Mandate, 10% Buy-Back Authority and RSU Scheme Approval

Shandong Boan Biotechnology Co., Ltd. (BOAN BIOTECH) has issued its proxy form for the Annual General Meeting scheduled for 10:00 a.m. on 22 June 2026 at 32A, No. 8 Kechuang West Road, High-Tech Industrial Development Zone, Yantai, Shandong Province, China.

The agenda lists six ordinary and four special resolutions:

1. Governance and Reporting • Shareholders will vote on the Board of Directors’ and Board of Supervisors’ reports for FY 2025, along with the full 2025 annual report. • Re-appointment of Ernst & Young as auditor for FY 2026 is proposed, with the Board authorised to determine remuneration. • Separate resolutions empower the Board to set directors’ remuneration and the Board of Supervisors to fix supervisors’ remuneration.

2. Capital Management Mandates • Issue Mandate: The Board seeks approval to allot, issue, or deal with additional shares—and to sell or transfer any treasury shares—up to 20% of the Company’s issued share capital as at the AGM date. • Repurchase Mandate: Management also requests authority to buy back shares representing up to 10% of issued capital on the same reference date. • Extension: The number of shares repurchased under the buy-back mandate may be added to the Issue Mandate’s limit.

3. Equity Incentive Plan • Shareholders will consider adoption of a Restricted Share Unit Incentive Scheme and authorise the Board or its designated person to handle all related matters.

Proxy submissions must reach Computershare Hong Kong Investor Services Limited no later than 24 hours before the meeting. Completion of the proxy does not preclude shareholders from attending and voting in person.
