First Pacific Company Limited (00142) has announced that a Special General Meeting (SGM) will take place virtually on 12 December 2025 at 3:00 p.m. Shareholders may participate and vote via an online platform, with arrangements made at the company’s principal office in Hong Kong.

The SGM aims to seek approval for continuing connected transactions related to PT Indofood Sukses Makmur Tbk and its subsidiaries, covering the plantations business (2026-2028 Plantations Business Transactions) and distribution business (2026-2028 Distribution Business Transactions). In both cases, new annual caps for the years ending 31 December 2026, 2027, and 2028 will be considered. The board will be authorized to adjust these caps within the approved aggregated totals if required, and directors are empowered to execute any necessary documents and actions to implement the transactions.

To confirm voting entitlement, the register of members will be closed from 9 December to 12 December 2025, inclusive. Proxy forms must be submitted by 3:00 p.m. on 10 December 2025. The company has indicated that if severe weather warnings are issued in Hong Kong around midday on 12 December 2025, the meeting may be adjourned, with announcements to be made on official websites.
