OmniVision Integrated Circuits Group, Inc. (OmniVision) disclosed that controlling shareholder Mr. YU Renrong has completed two share-pledge transactions on 15 July 2026.

Key developments 1. Pledge release: Mr. Yu lifted the pledge on 13.20 million A shares, equal to 1.05% of OmniVision’s issued share capital. 2. New pledge: On the same day, Mr. Yu pledged 9.00 million A shares (0.72% of issued capital) in favour of Huaneng Guicheng Trust Co., Ltd. to secure bona fide financing.

Counterparty status Huaneng Guicheng Trust is classified as an independent third party and is not a connected person to OmniVision under Hong Kong listing regulations. The trust has provided a written undertaking that, during the pledge period, it will not exercise or realise security rights in a manner that would cause Mr. Yu to breach paragraph 10.07(1)(b) of the Hong Kong Listing Rules, thereby preserving his status as controlling shareholder.

Regulatory note The company confirmed that the new pledge does not fall within the scope of Rule 13.17 of the Listing Rules, which governs disclosure of certain lending and guarantee arrangements involving controlling shareholders.
