On 21 July 2026 DAHON Tech (Shenzhen) Co., Ltd. announced three major resolutions to be tabled at an extraordinary general meeting scheduled for 14 August 2026:

1. Corporate-governance overhaul • The company seeks shareholder approval to abolish its Board of Supervisors and transfer all statutory oversight duties to the Board’s Audit Committee, in line with the amended PRC Company Law (2023) and the CSRC’s 2025 guidelines. • Corresponding clauses in the Articles of Association will be revised and housekeeping updates completed. Once approved, the first session of the Board of Supervisors will be dissolved and the three current supervisors—Huang Siqing, Zhu Guocheng and Kuang Wenbiao—will cease to hold office.

2. Alignment of internal rules • To reflect the structural change, three governance documents will be updated: Rules of Procedures for General Meetings, Rules of Procedures for Board Meetings and the Policy for Independent Directors.

3. Election of the second Board session • Seven directors are nominated for a three-year term using cumulative voting: – Executive directors: Dr. Hon Ta-Wei (founder and current chairman), Li Guiyu, Liu Guocun and Lee Hsiu-Fen. – Independent non-executive directors: Dr. Lee Lai Sun Peter, Liu Xuequan and Zhao Gensheng. • Each executive director will sign a three-year service contract renewable upon shareholder approval, with remuneration comprising fixed salary, performance bonus and allowances determined under the 2025 AGM remuneration plan. • Independent directors will each receive an annual director’s fee of RMB 50,000.

Key timeline for shareholders • Share register for H-shareholders closes from 11 August 2026 to 14 August 2026. Transfer documents must reach Computershare Hong Kong by 16:30 on 10 August 2026 to qualify for voting.
