WL DELICIOUS Sets 80% Minimum Cash Payout Ratio for 2026–2028, Overhauls Dividend Policy

On 13 August 2026, WEILONG Delicious Global Holdings Ltd (“WL DELICIOUS”, 09985) approved two key resolutions aimed at enhancing shareholder returns and improving dividend predictability:

1. Three-Year Profit Distribution & Return Plan (2026–2028) • Cash first: Subject to profitability and liquidity tests, annual cash dividends will be the primary distribution method. • Payout floor: For each of the next three fiscal years, not less than 80% of net profit attributable to equity holders must be paid in cash. • Share buy-backs counted: Any on-market share repurchases funded with cash will be aggregated with cash dividends when calculating the payout ratio. • Preconditions: Distribution requires (i) positive attributable net profit, (ii) positive accumulated undistributed profits, and (iii) sufficient operating cash flow. • Exemptions: The Board may suspend or reduce cash payouts if the Company (a) records a net loss, (b) has negative distributable reserves, (c) posts negative operating cash flow or period-end cash and cash equivalents, or (d) anticipates material cash outlays—defined as investment or capex plans within 12 months exceeding either 20% of latest audited net assets and above RMB1.50 billion, or 10% of latest audited total assets. • Bonus shares: If operations are strong and the share price is deemed misaligned with capital scale, the Board may recommend bonus share issues, subject to shareholder approval.

2. Revised Dividend Policy • New benchmark: The minimum annual cash payout ratio is raised to 80% of attributable net profit, up from the previous 25%, contingent on the same profit and liquidity criteria. • Review clause: The Board retains discretion to amend the policy when deemed necessary; the policy does not constitute a binding dividend guarantee.

The updated policy becomes effective immediately and will be reflected in WL DELICIOUS’s 2025 annual report released on 23 April 2026. Shareholders are advised to note the stipulated conditions that could lead to lower or deferred cash distributions, particularly in scenarios of losses, negative cash positions, or significant forthcoming capital commitments.
