Superactive Group Company Limited (the “Company,” Stock Code: 0176) announced the resignation of Executive Director Ms. Yeung So Lai and Independent Non-Executive Director (INED) Mr. Chow Wai Leung William, both effective from 4 November 2025. According to the Company, Ms. Yeung is stepping down to focus on other business commitments, while Mr. Chow is concluding his tenure as an INED and similarly intends to devote more time to personal interests.

Following these departures, the Board currently consists of members of a single gender. This arrangement does not fulfill the Listing Rules’ gender diversity requirement under Rule 13.92. In addition, with the resignation of Mr. Chow, the Company is temporarily operating with two INEDs, falling short of the required minimum under Rule 3.10(1) and 3.21. To address these issues, the Company intends to identify a suitable female candidate to fill the vacancy within three months.

Trading in the Company’s shares has been suspended since 1 April 2025 and will remain on hold until the Company meets the Stock Exchange’s Resumption Guidance. Both shareholders and potential investors are advised to proceed with caution when dealing in the Company’s securities.
