First Tractor Company Limited (the 「Company」) has announced that its company secretary and authorised representative under the Stock Exchange’s Listing Rules, Ms. Yu Lina, retired from her positions effective 28 October 2025. She confirmed having no disagreement with the board, and there are no matters requiring further attention from regulators or shareholders. The board expressed appreciation for her contributions.

Effective on the same date, Mr. Liu Bin was appointed as one of the Company’s joint company secretaries. Mr. Liu is the chief financial officer of the Company and has previously served as a senior financial executive in various entities. Meanwhile, Ms. Wong Nga Ting has been named the other joint company secretary and the authorised representative. She is a partner at DeHeng Law Offices (Hong Kong) LLP and a solicitor of the High Court of Hong Kong.

Since Mr. Liu does not possess the qualifications ordinarily required under the Listing Rules for a company secretary, the Stock Exchange granted a three-year waiver from strict compliance with Rules 3.28 and 8.17. The waiver requires Mr. Liu to be assisted by Ms. Wong throughout this period, applies only to his role as a joint company secretary, and may be revoked if Ms. Wong ceases to provide support or if there are material breaches of the Listing Rules by the Company.

Before the end of the three-year period, the Company must demonstrate to the Stock Exchange that Mr. Liu has acquired the necessary experience to fulfill the company secretary role without further waiver. The board has welcomed both Mr. Liu and Ms. Wong in their new appointments.
