XTALPI Posts Stable Capital Structure for August 2026, Confirms Public-Float Compliance

XtalPi Holdings Limited (abbr. XTALPI) released its Monthly Return for the period ended 31 August 2026, showing no changes to authorised or issued share capital while affirming compliance with Hong Kong’s minimum public-float threshold.

Authorised and Issued Share Capital • Authorised capital remained at 100.00 billion ordinary shares with a par value of USD 0.00001, equivalent to USD 1.00 million. • Issued shares stood unchanged at 4.30 billion. No treasury shares were outstanding or created during the month.

Public Float XTALPI confirmed that at least 25% of its issued ordinary shares were held in public hands as required under Main Board Rule 13.32B.

Equity Incentive Plans • Pre-IPO ESOP: 204,000 options were exercised, lowering outstanding options to 217.40 million. All shares underlying these options had been issued previously and are held through a dedicated platform, so the exercise did not affect the issued share count. • Post-IPO Share Option Scheme: 10.57 million options remained outstanding, with capacity to issue the same number of shares. • 2026 Share Scheme (options): 34.98 million options outstanding. • Post-IPO RSU Scheme and 2026 Share Scheme (RSUs): potential issuance of 11.79 million and 8.68 million shares, respectively.

Convertible Bonds Zero-coupon convertible bonds due 2027, with a principal of HKD 2.87 billion, were unchanged. Full conversion at HKD 13.85 per share would result in 206.93 million new shares.

Overall, XTALPI recorded no increase or decrease in issued shares or treasury shares in August 2026, maintaining a stable capital base while preserving capacity for future equity issuance through existing option, RSU and convertible-bond arrangements.
