XIAOCAIYUAN unveils plan to repurchase up to 1.5% of shares, switches to alternative 10% public-float threshold

Xiaocaiyuan International Holding Ltd. has announced a two-part initiative that combines a new on-market share repurchase programme with a change in the minimum public-float requirement under Hong Kong Listing Rules.

Under the Share Repurchase Plan, the Board may buy back up to 17.65 million shares, representing no more than 1.5% of the company’s issued share capital (excluding treasury shares) as at 26 May 2026. The purchases will be funded by internal resources and executed on the open market in tranches, subject to market conditions. Any shares repurchased will be cancelled or held in treasury. The plan forms part of the broader repurchase mandate approved by shareholders on 20 April 2026, which authorises buy-backs of up to 117.65 million shares, or 10% of shares in issue, until the next annual general meeting or earlier revocation.

On 26 May 2026, the company repurchased 239,200 shares, reducing the proportion of shares held by the public. As a result, XIAOCAIYUAN has adopted the “Alternative Threshold” allowed under Rule 13.32B of the Listing Rules. This requires (1) a public-float market capitalisation of at least HKD1 billion and (2) a free float of at least 10% of issued shares. As at the latest practicable date, the public float stood at 14.99% with a market capitalisation of HKD1.42 billion, satisfying both criteria.

The Board emphasised that repurchases will be conducted in compliance with the company’s articles, Hong Kong’s Listing Rules, the Takeovers Code, Cayman Islands law and other applicable regulations. Buy-backs will be suspended if they would trigger a mandatory offer under Rule 26 of the Takeovers Code or cause the public float to fall below the prescribed minimum.

Management views the initiative as a reflection of confidence in the group’s long-term prospects while maintaining sufficient resources for ongoing operations. Investors are reminded that execution—timing, volume and price—remains subject to market conditions and Board discretion, and are advised to exercise caution when dealing in the company’s shares.
