Greentown China Unveils 20% Share-Issuance Mandate, 10% Buy-Back Plan and Auditor Switch to KPMG; AGM Set for 29 June 2026

Greentown China Holdings Limited has issued a circular convening its Annual General Meeting for 29 June 2026 in Hangzhou, outlining several key resolutions for shareholder approval.

Key mandates on capital • Issue Mandate: Directors seek authority to allot, issue or transfer up to 507.92 million shares, representing 20 % of the 2.54 billion shares in issue (excluding any treasury shares) as at the latest practicable date of 2 June 2026. • Repurchase Mandate: Authority to buy back up to 253.96 million shares, or 10 % of issued capital. • Extension: The total shares that may be issued under the Issue Mandate can be increased by the number of shares repurchased under the buy-back mandate.

If the repurchase mandate were exercised in full, China Communications Construction Group (CCCG) and its subsidiaries would see their holding rise from 28.88 % to 32.09 %. The board stresses it has no intention to trigger a mandatory offer under Hong Kong’s Takeovers Code or reduce public float below 25 %.

Auditor rotation After a five-year tenure that started in 2021, Ernst & Young will retire. The board proposes appointing KPMG as new external auditor for the financial year ending 31 December 2026, with an estimated audit fee of RMB 5.98 million. The Audit Committee cited auditor-rotation best practice, independence and capability in recommending the change.

Board elections Six directors are subject to re-election: executive director and acting CEO Geng Zhongqiang, non-executive director Kevin Kwok Pong Chan, and independent non-executive directors Jia Shenghua, Hui Wan Fai, Qin Yuemin and Xiong Liangjun. Jia Shenghua and Hui Wan Fai, who have each served more than nine years, are proposed for continued appointment via separate resolutions.

Meeting logistics The AGM will be held at 2:00 p.m. on 29 June 2026 at Greentown University, Hangzhou. Shareholders must lodge proxy forms with Computershare Hong Kong Investor Services by 4:30 p.m. on 23 June 2026; the share register will be closed from 24–29 June 2026 (both dates inclusive). All resolutions will be decided by poll.
