LongBio Pharma proposes board reshuffle and initiates H-share full circulation

LongBio Pharma (Suzhou) Co., Ltd. has announced two key corporate moves: a planned change in its non-executive directorship and the launch of an H-share full-circulation programme.

Non-executive director transition • Dr. Chen Kan will step down as a non-executive director effective 31 August 2026 to focus on other business commitments. The company confirmed that Dr. Chen has no disagreements with the board and no issues requiring shareholder attention. • The board proposes appointing Mr. Xue Kailu, aged 39, as a non-executive director. Mr. Xue brings more than 17 years of biological-analysis experience, including senior roles at WuXi AppTec subsidiaries and Caresun Pharmaceutical, where he currently serves as deputy general manager. • His appointment is subject to shareholder approval at an upcoming extraordinary general meeting. If approved, Mr. Xue will serve for the remainder of the current board term and receive an annual director’s fee of RMB0.25 million.

H-share full circulation plan • The board has approved converting 1.26 million domestic unlisted shares into H-shares for trading on the Hong Kong Stock Exchange. • According to the company’s articles of association, this conversion does not require shareholder approval. The firm will file the necessary applications with the China Securities Regulatory Commission and seek listing approval from the Hong Kong Stock Exchange. • LongBio Pharma will publish further updates as regulatory procedures progress and advises shareholders and potential investors to exercise caution when dealing in its securities.
