Hainan Airport Infrastructure Co., Ltd. (600515.SH), Hainan Airport Infrastructure (Hongkong) Co., Limited, and Hainan Meilan International Airport Company Limited (357) jointly announced a monthly update regarding the proposed acquisition of approximately 50.19% of Hainan Meilan International Airport. The announcement highlights progress toward satisfying the conditions required for completing the share purchase agreement (SPA) and the subsequent possible unconditional mandatory cash offers.

According to the joint announcement dated 3 November 2025, five of the eight specified conditions (i), (ii), (iii), (iv), and (vi) have been fulfilled. Remaining conditions (v), (vii), and (viii) are still under review, and Hainan Airport Infrastructure Co., Ltd. continues to work toward meeting or waiving these outstanding requirements.

The parties emphasize that the upcoming offers remain contingent upon completion of the SPA. Shareholders and potential investors are advised that there is no certainty the remaining conditions will be satisfied, and they are encouraged to approach trading decisions with caution.
