ZXZN Qi-House Holdings Limited (the “Company”) reported on 27 October 2025 that its controlling shareholder, Tiptop Honour Limited (“Tiptop”), wholly owned by the Company’s ultimate controlling shareholder and chairman, Mr. Tong Tang Joseph (“Mr. Tong”), entered into a loan agreement with an independent third party. Under this agreement, Tiptop pledged 745,860,000 ordinary shares, equivalent to approximately 47.09% of the Company’s issued share capital, to secure a HK$16,000,000 loan.

Mr. Tong personally holds 61,900,000 shares (about 3.91% of the issued share capital), while Tiptop owns 745,860,000 shares (about 47.09% of the issued share capital). The Company stated that the share pledge does not fall within the scope of Rule 17.19 of the GEM Listing Rules. Shareholders and potential investors are advised to exercise caution when dealing in the Company’s securities.
