• Strengthened business profile – The group’s core operations comprise (1) Robotics Courses delivered on-site, online and through school collaborations, and (2) an AI Robotics Education Platform that provides interactive, AI-enabled coding and robotics content. As at the announcement date, two consolidated training centres in Heilongjiang can accommodate c. 900 students, while the AI platform has more than 25,100 student and 2,200 teacher registrations across nine schools.
• Sharp revenue rebound – Revenue climbed from HK$10.83 million in FY 2025 to HK$36.39 million in FY 2026, driven by drones, Python programming and training camps. Gross profit rose to HK$25.65 million, and the group swung to a FY 2026 profit of HK$9.46 million from a HK$7.13 million loss a year earlier. For the three months ended 30 Jun 2026 (3M 2027), revenue reached HK$14.39 million with a profit of HK$5.67 million.
• Business mix – FY 2026 revenue split: Robotics Courses HK$21.66 million (82.0 % gross margin) and AI platform HK$14.73 million (53.5 % gross margin). Margins in 3M 2027 expanded to 85.6 % and 74.5 % respectively.
• FY 2027 outlook – Management forecasts FY 2027 revenue of HK$73.91 million (Robotics Courses HK$36.55 million; AI platform HK$37.36 million) and profit of HK$24.35 million. Operating cash flow before working-capital changes is projected at HK$37.00 million.
• Balance-sheet clean-up – As at 31 Mar 2026 net liabilities stood at HK$56.14 million, largely due to a HK$95.10 million debt to China Communication Investment Limited (CCI). A Debt Capitalisation plan will convert HK$65.10 million of this debt into equity and repay HK$30.00 million in cash, turning the group into a net‐asset position of c. HK$5.60 million (audited basis) to at least HK$17.00 million (30 Jun 2026 pro-forma). Completion is targeted for 14 Oct 2026 following share consolidation and whitewash waiver approval.
• Liquidity – Cash on hand totalled HK$97.50 million at 30 Jun 2026. Near-term uses include debt repayment, HK$40.10 million of accruals and tax liabilities, drone procurement, centre expansion and IT upgrades. Directors state working capital is sufficient for at least the next 12 months.
• Independence affirmed – Ancillary services procured from the CCC Group are readily replaceable and constituted no significant financial reliance; operating cash flow remained positive even without CCC discounts.
• Compliance restored – Improved revenue, profitability, positive cash generation and adequate assets demonstrate adherence to GEM Rule 17.26. All material information has been duly disclosed, meeting the Stock Exchange’s second resumption requirement.
