Legal Action Filed Against Commvault for Securities Fraud Amidst Disappointing ARR Growth

Data protection software firm Commvault Systems, Inc. (NASDAQ: CVLT) is now the subject of a securities fraud class action lawsuit. This legal action follows the company's disclosure that its Annual Recurring Revenue (ARR) growth fell short of expectations and its subsequent downward revision of full-year guidance, which triggered a single-day stock plunge of over 31% and erased approximately $1.7 billion in market value. The deadline for investors to apply to serve as lead plaintiff is July 17, 2026.

The lawsuit has been filed in the U.S. District Court for the District of New Jersey. It seeks to represent investors who purchased Commvault securities between April 29, 2025, and January 26, 2026. The defendants include the company itself, along with executives such as CEO Sanjay Mirchandani and CFO Jen DiRico. They are accused of violating federal securities laws by making allegedly false and misleading statements regarding the prospects for ARR growth.

The complaint alleges that throughout the class period, Commvault assured investors that its ARR growth would remain stable. However, the company allegedly failed to disclose that this growth was increasingly being negatively impacted by a shift in its sales mix. A growing proportion of sales were reportedly coming from lower-value SaaS transactions and heavily discounted long-term contracts, which placed pressure on ARR expansion. The lawsuit claims the company was aware of, or recklessly disregarded, this fact but omitted this critical variable from its financial guidance.

The alleged truth emerged on January 27, 2026. Commvault released its third-quarter financial results, revealing net new ARR of only $39 million, which was below the company's previous guidance of $45 million. The company concurrently lowered its full-year ARR forecast. The year-over-year growth rate for SaaS ARR slowed to 40%, down from 71% in the prior quarter. The earnings report also disclosed that approximately 60% of the quarter's deals were closed in its final few weeks.

Following this news, Commvault's stock price plummeted from its January 26 closing price of $129.36 to $89.13 on January 27—a decline exceeding 31%. This sharp drop wiped out roughly $1.7 billion in market capitalization. By early June 2026, the share price had recovered to around $104, but this still represented a decline of nearly 50% from its 52-week high of $200.68.

Several law firms have announced their involvement in the litigation. The deadline for investors to step forward as lead plaintiff in the case remains July 17, 2026.
