NEW AMANTE (08412) announced that on July 30, 2026, after trading hours, the company entered into a subscription agreement with subscribers. Under the terms, subscribers have conditionally agreed to subscribe for, and the company has conditionally agreed to allot and issue, a total of 24.4495 million subscription shares at a subscription price of HK$0.245 per share.

The subscription price of HK$0.245 per share represents a discount of approximately 7.55% compared to the closing price of HK$0.265 per share on the Stock Exchange on the date of the subscription agreement, and a discount of approximately 13.12% compared to the average closing price of approximately HK$0.282 per share over the five consecutive trading days immediately prior to the agreement date.

The subscription shares represent approximately 20% of the company's existing issued share capital of 122 million shares as of the announcement date, and approximately 16.67% of the enlarged issued share capital of 147 million shares after the allotment and issuance (assuming no other changes to the issued share capital beyond this placement). The total face value of the subscription shares will be HK$244,500.

Gross proceeds from the subscription will be approximately HK$5.99 million, with net proceeds estimated at approximately HK$5.89 million after deducting related professional fees and other expenses of approximately HK$100,000. This equates to a net subscription price of approximately HK$0.241 per share.

As the company continues to execute its existing operational strategy to develop its entertainment and restaurant businesses, NEW AMANTE intends to use the proceeds from the subscription as general working capital for the group.
