MOG Digitech Pushes Back Circular Dispatch on Subsidiary Equity Disposal to 2 October 2026

MOG Digitech Holdings Limited has announced a second postponement in the mailing of its shareholder circular for the proposed disposal of equity interests in several subsidiaries—a transaction classified as a “major” under Hong Kong Listing Rules.

Originally scheduled for dispatch on 25 September 2026, the circular—together with the notice convening an extraordinary general meeting (EGM)—is now expected to reach shareholders on or before 2 October 2026. The company cites the need for additional time to prepare and finalise information, including the valuation report of the target companies and other required disclosures, as the reason for the delay.

The forthcoming circular will include: • A detailed letter from the Board outlining the terms of the disposal agreement and related transactions. • An independent valuation report on the fair value of the equity stakes to be divested. • Supporting information mandated by the Hong Kong Listing Rules. • Formal notice of the EGM where shareholders will vote on the transaction.

Management Continuity: The board composition remains unchanged, comprising four executive directors—Chief Executive Officer Chen Yongzhong, Deng Zhihua, Zhou Yue, and Ye Wei—and three independent non-executive directors—Gao Hongxiang, Yau Tung Shing, and Chen Wen.

Market Implication: While the delay is procedural, it prolongs the transaction timetable and defers shareholder review. Investors will now look to the finalised circular by 2 October 2026 for definitive details on valuation and terms before casting their votes at the EGM.

The announcement marks the sixth public update since the disposal plan was first disclosed on 8 June 2026, with subsequent notices released on 23 July, 14 August, 10 September, and 16 September 2026.
