Liaoning Port Proposes Eighth-Term Board Line-up; Introduces New Independent Director and Sets Remuneration

Liaoning Port Co., Ltd. has unveiled plans for the formation of its eighth Board of Directors, to be voted on at the company’s 2025 annual general meeting (AGM). The current seventh-term directors will continue their duties until the new Board is elected.

Key nominations • Executive Director: Dr. Li Guofeng is put forward for re-election. • Non-executive Directors: Mr. Liu Bin, Mr. Yang Bing and Mr. Huang Zhenzhou are nominated for re-election. • Independent Non-executive Directors (INEDs): Ms. Cheng Chaoying and Mr. Chan Wai Hei are up for re-election, while Mr. Jiao Guangjun is nominated for election as a new INED. Upon Mr. Jiao’s appointment taking effect, incumbent INED Dr. Liu Chunyan will retire at the end of his term.

Tenure and remuneration All proposed directors will serve a three-year term starting from the date of shareholder approval. No director fees will be paid to Dr. Li Guofeng, Mr. Liu Bin, Mr. Yang Bing or Mr. Huang Zhenzhou. Annual remuneration for the independent directors is set at RMB0.20 million each for Ms. Cheng Chaoying and Mr. Jiao Guangjun, and RMB0.25 million for Mr. Chan Wai Hei. No additional benefits or bonuses are proposed.

Independence confirmation Each INED candidate has confirmed compliance with Rule 3.13(1)–(8) of the Hong Kong Listing Rules, absence of financial or other interests in Liaoning Port or its core connected persons, and no circumstances affecting independence.

Next steps Shareholders will vote on the proposed appointments at the 2025 AGM. If approved, the eighth-term Board will commence its three-year mandate immediately after the meeting.
