Bulletin Express
04/02

On 2 April 2026, Daphne International Holdings Limited filed its monthly return for the period ended 31 March 2026, confirming a stable share-capital structure with minor adjustments to outstanding share options.

Authorised and Issued Capital • Authorised share capital stood unchanged at 10.00 billion ordinary shares with a par value of HKD 0.10, equivalent to HKD 1.00 billion. • Issued share capital remained flat month-on-month at 1.98 billion shares. No treasury shares were held or cancelled, and no new shares were issued during March. • The company confirmed compliance with the Main Board’s 25% minimum public-float requirement.

Share-Option Movements • Under the 27 August 2013 share-option scheme, 0.75 million options carrying an exercise price of HKD 0.70 lapsed during the month, reducing that tranche to 10.50 million. • Two additional tranches of the same scheme—both with a HKD 0.20 exercise price—remained unchanged at 66.30 million and 51.80 million options, respectively. • Total outstanding options at month-end were 128.60 million, down from 129.35 million a month earlier. No options were exercised; therefore, no funds were raised.

Other Instruments and Corporate Actions • The filing reported no warrants, convertible securities, share repurchases, or other share-issuance arrangements during March 2026.

The March return highlights continued stability in Daphne International’s equity base, with only a marginal reduction in potential dilution from lapsed share options and no change to issued share count or authorised capital.
