Buffett Accelerates Gifting of Berkshire Shares to Family Foundations, Plans to Liquidate Entire Stake Within Eight Years, Halts Donations to Gates Foundation for First Time in Two Decades

Warren Buffett, the 95-year-old investment icon and Chairman of Berkshire Hathaway (BRK.A.US, BRK.B.US), is accelerating the pace of his annual charitable donations of shares to three foundations managed separately by his children.

This move positions him to potentially liquidate his entire remaining stake in the company within the next eight years. However, a notable change in the announced future donation plan is that for the first time in twenty years, Buffett has decided to skip the annual mid-year donation to the Bill & Melinda Gates Foundation, and the foundation is also absent from the list of future recipients.

This decision follows a recent wave of public scrutiny earlier this year, when documents released by the U.S. Department of Justice reignited intense public focus on the relationship between Bill Gates and the late financier and convicted sex offender Jeffrey Epstein.

Family Foundations as Primary Recipients, Independently Managed by Children

According to an official statement released on Tuesday, Buffett plans to donate 1 million Class B shares of Berkshire Hathaway (BRK.B) to each of three charitable foundations independently run by his three children: the Sherwood Foundation, the Howard G. Buffett Foundation, and the NoVo Foundation.

Additionally, he will donate 9 million Class B shares to the Susan Thompson Buffett Foundation, named after his late wife.

"Of course, life is uncertain, but regardless, my remaining shares will be donated to these four foundations by December 31, 2034," Buffett stated in the declaration.

"Our goal is for the annual grants to the three foundations independently managed by my children to increase each year, with the annual grants to the Susan Thompson Buffett Foundation growing slightly faster."

Last year, Buffett expressed his desire to accelerate charitable giving to these foundations to facilitate the management of his vast estate by his children after his passing.

Indeed, approximately a year ago, the Berkshire Hathaway chairman donated shares worth about $320 million to each of these three foundations, followed by a pledge to contribute an additional roughly $200 million to each later that same year.

Shareholdings and Donation Mechanism

Regulatory filings indicate Buffett currently holds 188,290 Class A shares (BRK.A) and 1,162 Class B shares of Berkshire Hathaway.

According to the company's charter, the high-voting Class A shares can be unilaterally converted into Class B shares at a 1:1500 ratio at any time.

To fulfill the pledge for a total of 12 million Class B shares, Buffett may only need to convert 8,000 of his Class A shares to complete the donation.

Pausing Additional Donations, Possibly Awaiting External Review Outcome

The decision to exclude the Gates Foundation from the list is widely perceived to be linked to the Epstein controversy.

According to prior media reports, the Gates Foundation had commissioned an external review of its past interactions with Epstein and planned to reassess and revise its policies for vetting new philanthropic partnerships.

Sources indicate that Buffett will temporarily suspend all plans for additional donations to the foundation until the results of this review are finalized.
