Yuzhou Group Holdings Company Limited will seek shareholder approval on 14 August 2026 to dispose of six office units on the 58th floor of The Center, Central, Hong Kong, for HK$268.84 million.

The assets—Offices 5801, 5802, 5803, 5805, 5806 and 5813—provide a combined gross floor area of about 13,442 sq ft. Independent valuer Jones Lang LaSalle valued the property at HK$268.00 million as of 30 April 2026, versus an unaudited carrying amount of HK$350.66 million in the group’s books.

Key transaction terms • Buyer: Golden Sunny Limited (Independent Third Party) • Consideration: HK$268.84 million, with HK$26.88 million deposits already placed and the HK$241.96 million balance due on completion. • Conditions: (i) approval of a sub-sub deed of mutual covenant by Hong Kong’s Lands Department, the building manager and existing mortgagee; (ii) shareholder approval at the EGM. • Completion deadline: on or before 30 September 2026, or within 30 days after condition fulfilment, whichever is later.

Financial impact • Estimated loss on disposal: HK$83.02 million, after deducting transaction costs of about HK$1.20 million. • Net proceeds: roughly HK$267.64 million, earmarked entirely for partial repayment of bank borrowings secured by an existing mortgage over the whole 58th floor and other properties. • The mortgagee will release the sold units upon repayment; the remaining floor area will stay pledged as security for outstanding borrowings.

Strategic rationale Management cited the need to improve liquidity and lower leverage amid challenging Hong Kong office market conditions. The disposal enables cash realisation without disrupting operations, as Yuzhou expects to lease back the portion currently used as its headquarters after completion.

EGM details Shareholders will vote on the transaction at Unit 5805, 58/F, The Center, at 10:30 a.m. on 14 August 2026. The board unanimously recommends voting in favour of the sale.
